Supplier Code Of Conduct

At Coresignal, we are committed to maintaining the highest standards of integrity, ethic s, and responsibility in all aspects of our business. Our suppliers are expected to follow the same standards as we conduct business. This Code of Conduct aims to outline our expectations for all suppliers working with Core signal and it's affiliates. This covers anyone doing business with Core signal, including partners, suppliers, consultant s, and s er vice providers (hereafter "the Suppliers" or "the Supplier"). At Coresignal, we think that ethical behavior should be proactive. Therefore, we desire all our Suppliers to not only follow any applicable regulations, ethical business practices, and our Code of Conduct but also to make every effort to exceed the s e standards whenever possible.

1. Our goal at Coresignal is to establish and maintain a work environment that actively and properly respects human rights and labor ethics.

This dedication is deeply rooted in our fundamental values and principles of behavior, and it aligns with universal standards.

Human rights

All of our Suppliers must protect human rights by avoiding any violations. This includes a commitment to non-discriminatory hiring and employment practices, ensuring no discrimination based on nationality, gender, age, religion, or any other status. Additionally, we expect our Suppliers to uphold democratic principles and respect the rights established under international legal frameworks, such as the United Nations Guiding Principles on Business and Human Rights (UNGP) and the Organisation for Economic Co-operation and Development (OECD) Guidelines for Multinational Enterprises on Responsible Business Conduct.

Labor ethics

Any employment practices that involve debt slavery, forced labor, or any other type of involuntary labor are prohibited by the Supplier. All work should be voluntary, and employees should be able to leave at any time of their own free will. In addition, the Supplier is prohibited from using child labor in any of its activities. Regarding remuneration, the Supplier shall pay its employees wages that are reasonable, relevant to current market rates, and honorable. Furthermore, the Supplier shall ensure a safe working environment and communication between colleagues, including the provision of channels through which individuals can communicate freely without fear of bullying or harassment.

Suppliers are expected to provide equal opportunities for all employees, ensuring fair treatment and support for personal and professional growth. This includes removing any barriers to development and ensuring that compensation, promotions, and benefits are awarded without bias.

Inclusion

It is essential to create an environment that is inclusive and where all people feel valued, respected, and empowered. Suppliers should foster a workplace culture that encourages open dialogue, supports different points of view, and promotes mutual respect among employees.


3. The Supplier is responsible for ensuring a safe and healthy work environment by complying with all relevant laws and regulations.

Risk management

The Supplier must implement comprehensive safety protocols tailored to its specific operations and ensure employees adhere to these guidelines.

Emergency preparedness

The Supplier should develop and maintain disaster readiness plans, provide thorough training on emergency procedures, and ensure that facilities meet required standards

Accident prevention and management

The Supplier needs to establish effective procedures for preventing and managing accidents, create a workplace culture where employees feel comfortable reporting incidents, and ensure access to appropriate medical care and support for recovery and reintegration into the workforce.


4. At Coresignal, we uphold the highest standards of integrity and ethical behavior in all business dealings and expect our Suppliers to adhere to these same principles.

These standards ensure that Coresignal and its Suppliers operate with transparency and fairness, maintaining the integrity of our business relationships.

Anti-corruption

The Supplier must avoid all forms of corruption and bribery. This includes refraining from offering, giving, authorizing, or accepting bribes, gifts, loans, or other incentives that could influence decision-making or create an unfair advantage.

Anti-competitive practices

The Supplier must not engage in practices that restrict or distort market competition.

Conflict of interest and transparency

The Supplier is required to disclose any potential conflicts of interest, including personal relationships with Coresignal employees, promptly. Any suspicions of corrupt activities within the supply chain must be reported to Coresignal immediately.

5. Suppliers must refrain from providing services or engaging in activities that could facilitate money laundering or support unlawful activities, such as terrorism, tax evasion, or fraud.

These requirements are in place to ensure that all business activities are conducted in full legal compliance and uphold the highest ethical standards.

Anti-money laundering

The Supplier must ensure that their operations do not contribute to money laundering or other illegal activities.

Economic sanctions and export controls

Suppliers are required to comply with all relevant economic sanctions and export control laws and regulations. Any actions that could lead to violations of these laws by either the Supplier or Coresignal are strictly prohibited.

6. Coresignal requires the Supplier to ensure the protection of personal data and confidential information from unauthorized access, misuse, or loss, in accordance with all applicable legal standards.

This includes adhering to regulations governing the collection, use, storage, and transfer of personal data, as well as ensuring that confidential information and personal data are only used within the agreed-upon scope of services across all relevant jurisdictions. By adhering to these requirements, the Supplier helps to maintain the integrity and security of information and intellectual property, reflecting our shared commitment to legal and ethical standards.

Information security and data protection

To maintain high data security standards, the Supplier must implement robust administrative, physical, and technical safeguards such as encryption, access controls, and regular security audits that meet industry best practices. Suppliers must also have procedures in place to promptly respond to data breaches and ensure secure cross-border transfers of data using legally approved mechanisms. Additionally, Suppliers must train their employees on data protection practices and be capable of handling data subject requests in accordance with legal timeframes.

Intellectual property rights

The Supplier is obligated to respect and uphold intellectual property rights. This involves facilitating the legal transfer of technology and know-how and ensuring that no unauthorized copyrighted materials are used.


7. Coresignal is committed to integrating ESG (Environmental, Social, and Governance) principles throughout our operations and expects our Suppliers to do the same.

By aligning with these principles, Suppliers contribute to our mutual goal of achieving environmental sustainability and upholding ethical business practices.

Ethical sourcing and transparency

Coresignal also expects Suppliers to engage in responsible sourcing, avoiding materials from regions associated with human rights violations or environmental damage. Demonstrating due diligence in sourcing practices is crucial. Suppliers should maintain transparency on sustainability matters and provide requested ESG or climate-related data to support our joint commitment to a sustainable future.


8. At Coresignal, we understand that resolving compliance issues often involves navigating complex external factors. We are committed to a collaborative approach, working closely with Suppliers and relevant stakeholders to develop effective, tailored solutions.

Addressing compliance challenges

Navigating compliance issues can be intricate and may involve multiple external factors. Coresignal is dedicated to a cooperative approach, partnering with Suppliers, regulatory authorities, labor unions, and industry organizations to create customized solutions for each specific situation.

Encouraging open communication

Suppliers facing difficulties in adhering to our Code of Conduct are encouraged to proactively communicate their challenges via email at [email protected] or through the designated communication channel Whistleblower Hotline on the Coresignal website. Openness and honesty are crucial for maintaining the integrity of our operations and partnerships, and they help foster a business environment that reflects our core values and supports collective excellence.

Verification and due diligence

To ensure compliance, Coresignal may conduct both internal and external evaluations and perform thorough due diligence. Suppliers are required to provide accurate, complete, and timely information upon request. If non-compliance is identified, a remediation plan may be required to address the issues effectively.

Consequences of non-compliance

Should a Supplier fail to address violations of the Code of Conduct after receiving reasonable notice, Coresignal reserves the right to suspend or terminate the business relationship immediately. The decision will be based on the severity and frequency of the infractions.
